By submitting your listing to Homepie, you are acknowledging that you have read and understand the following:

Once your listing is live on Homepie.com, buyers will be able to propose offers to you which you will be able to negotiate online. Once all terms are agreed to, depending on the state your listing is located in, either a Digital Purchase Contract (RPA) or a Memorandum of Understanding (MOU) will be automatically generated. You acknowledge and understand that these are two different documents, each with it’s own intended use as described in the next section.

By submitting or accepting a proposed offer or counter offer, you acknowledge that you have read and understand the following:

DOCUMENTS

If the property is located in a state in which we offer the digital purchase contract, and my proposed offer or counter offer is accepted, I understand that a Purchase Agreement will be generated for electronic signatures. Once signed by all parties, the Purchase Agreement will become binding as a legal contract for the state in which the property is located.

If the property is located in an area where we do not offer the digital purchase contract, and my proposed offer or counter offer is accepted as-is, I understand that a Memorandum of Understanding (MOU) will be generated for electronic signatures. I understand that this document shall be signed by all parties to the proposed sale. I understand that unlike the Purchase Agreement, the Memorandum of Understanding is NOT a binding purchase contract. The parties are informally agreeing to work in good faith to memorialize the final sale details in an appropriate contract for the state in which the listing is located. I understand that there may be additional nuances or terms that must be addressed. A local Homepie partner may assist in preparing and executing your official Purchase Agreement.

SERVICE PROVIDERS

Homepie has pre-selected independent service providers for escrow, title, and transaction coordination to help make the sale process as seamless as possible. There is no obligation to use these services. However, they have been integrated into the Purchase Agreement to facilitate the completeness of your transaction. Once all parties have signed the Purchase Agreement, feel free to compare rates and services.

Any communication or agreements between the parties in messaging through the Services will not be part of the Purchase Agreement. If the parties desire to enter into side agreement(s) beyond the terms included in the Purchase Agreement relating to the purchase and sale of the residential property, the parties should prepare a separate writing to be signed by the parties to memorialize any such additional agreements. Any such side agreement(s) is not a part of the Services provided by Homepie, Inc. The parties are strongly advised to consult with legal counsel and tax professionals for legal or tax advice concerning any such additional agreements.

If you are a real estate agent representing a client and submitting a proposed offer on their behalf, you are declaring that you are authorized to do so on behalf of your clients, whom you have named as the buyers in this proposed offer.

Attachments and Personal Property

You acknowledge and understand that all items permanently attached to the property are considered fixtures and are included as part of the real estate for sale. These items may include built-in appliances, window coverings, TV or speaker mounts, built-in mirrors, ceiling fans, built-in shelving, etc. If there is anything that you as the seller wish to exclude from the sale, it is suggested that you have the item professionally removed before taking photos of your property. Removing the excluded items prior to taking photos of your property will help to avoid any confusion or disputes with a buyer.

Digital Purchase Contract (RPA) and Memorandum of Understanding (MOU)

Digital purchase contract is not available in all states. If the digital purchase contract is not available in your state, instead, we will provide you with a Memorandum of Understanding which informally outlines the terms which all parties are agreeable to. This document is signed by all parties with an understanding that in good faith, you will memorialize further details into a contract. Once you receive your MOU, we will pair you with a local professional to help with a state specific contract.

The RPA and MOU are intended to be as comprehensive as possible. You acknowledge that you understand that a signed MOU does not represent a legally binding contract, and understand that the purpose is to assist in memorializing the general terms in which both buyer and sell agree to, and that in good faith, the terms need to be further memorialized and a state specific purchase contract which may include more specific terms that need to be agreed upon in addition to the terms already outlined. You understand finalizing a state specific purchase contract requires cooperation from all parties in order to fully memorialize a binding purchase agreement.
